Terms of Service
The agreement between you and TICPOZ Ltd. Read this — especially the trading-risk disclosure and the limitation of liability.
TICPOZ is a software-as-a-service automation tool. We publish web software that lets independent traders describe a rule-based strategy in plain English, validate it on historical price data, and run it against their own broker account using their own API credentials.
What TICPOZ is NOT. TICPOZ is not a broker, broker-dealer, securities dealer, futures commission merchant, exchange, alternative trading system, money-services business, money transmitter, payment processor, investment adviser, portfolio manager, asset manager, fiduciary, custodian, copy-trading service, signal service, prop firm, or fund. We do not hold client money, we do not have discretionary authority over any account, we do not execute trades on our own books, and we do not provide personalised investment advice or recommendations. Your subscription fee is payment for software access — not for any financial product, security, derivative, or trading service.
Industry classification. TICPOZ is a software publisher (US NAICS 511210 / UK SIC 62012). We are not regulated as a financial institution and we have not applied for any financial-services authorisation, because none of our activities require one.
1. Acceptance
These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”) and TICPOZ Ltd (“TICPOZ”, “we”, “our”). By creating an account, accessing the Service, or using any TICPOZ API, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a company, partnership or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
2. Eligibility
- You must be at least 18 years old.
- You must be permitted to use the Service under the laws of your jurisdiction. You are responsible for understanding and complying with local rules on derivatives, leverage, crypto-assets and tax.
- You must not be on any sanctions list maintained by the EU, UK, US (OFAC), UN or any other applicable government, and you must not be located in a jurisdiction subject to comprehensive sanctions.
- You must not be barred from using your chosen broker by that broker's own terms.
3. Your account
- You provide accurate information when registering and keep it current.
- You are responsible for everything that happens under your account, including any orders placed via your broker connections, until you notify us of unauthorised access.
- You must keep your password and 2FA factors secret. We will never ask for them.
- One person, one account, unless we have explicitly granted you team / multi-seat access.
4. The Service
TICPOZ provides software tools — a strategy composer powered by Quant-AI, a backtester, a strategy library, a live execution layer that connects to brokers via supported APIs, news and fundamentals data, and related analytics. The exact set of features available to you depends on your plan and on which integrations you have enabled.
We may change, add, suspend or remove features. We will give reasonable notice for changes that materially reduce the functionality of paid plans.
5. Trading risk disclosure
No guaranteed returns. The Service does not promise any specific outcome, return or profitability. Strategies that have looked profitable in a backtest can — and frequently do — lose money in live conditions.
Backtests are simulations. Backtests use historical data plus modelled spreads, slippage and news lockouts. They cannot perfectly replicate live conditions: there is no live order-book impact, broker execution variability, or surprise weekend gap. Treat backtest numbers as an upper bound, not a forecast.
Leverage amplifies losses. Many supported instruments are leveraged. Small adverse moves can wipe out a margin balance and create a debit balance owed to your broker.
No advice. Nothing on TICPOZ — strategy templates, AI explanations, blog posts, status pages, or anything else — is investment advice, a recommendation, an offer or a solicitation. The Service is software. Investment decisions are yours.
6. We are not a broker
TICPOZ is not a broker, broker-dealer, exchange, investment adviser, portfolio manager, custodian or fiduciary, and we do not hold client money. When you connect a broker, your funds remain at that broker under that broker's terms, regulator and protections. Withdrawals, margin calls, KYC / AML, leverage policies and execution venues are controlled by your broker.
We pass orders to brokers through the broker's API. We are not responsible for the broker's execution quality, slippage, requotes, outages, spreads, fees, swaps, or KYC outcomes.
7. Acceptable use
You agree not to:
- Use the Service for any illegal activity, including market manipulation, layering, spoofing, wash trading, insider trading, or money laundering.
- Use the Service to trade on behalf of third parties without proper licensing in your jurisdiction.
- Reverse-engineer, decompile, attempt to extract source code or model weights, or use the Service to train competing models.
- Resell, sublicense, white-label or rebrand the Service without a written agreement with us.
- Probe, scan, or attempt to bypass our security or rate limits, or attack any other user or our infrastructure.
- Submit prompts designed to make the AI emit illegal, deceptive, or harmful content.
- Use the Service in any way that violates your broker's terms of service.
- Scrape the Service or its data beyond reasonable browser use or your assigned API quota.
We may suspend or terminate accounts that violate this section, with or without notice depending on severity.
8. AI-generated content
Quant-AI generates strategy specifications, explanations and other outputs (collectively, “AI Output”) based on your prompts. AI Output may be incorrect, unsuitable for your goals, or contain reasoning errors. You are responsible for reviewing AI Output before deploying it. We do not warrant that AI Output is correct, profitable, free of bias, or suitable for any purpose.
Subject to these Terms, you own your prompts and the AI Output generated for you. We may use aggregated, anonymised metadata about prompts and Outputs (e.g. which patterns the AI proposed) to improve the Service, but we do not use your strategy code or your raw prompts to train public models without your explicit opt-in.
9. Third-party brokers and data feeds
Broker integrations and data feeds (cTrader Open API, MetaTrader 5, prop-firm bridges, ForexFactory and others) are provided by third parties. Your use is subject to their terms. We are not responsible for their accuracy, availability or suitability. If a broker or feed becomes unavailable, the affected features of TICPOZ may be unavailable until the third-party service is restored.
10. Plans, fees and billing
- Beta period. While the Service is in private beta, certain plans may be free or offered at promotional prices. We will give at least 30 days' notice before charging any beta user.
- Subscriptions. Paid plans renew automatically at the end of each billing period unless cancelled before renewal.
- Payment. Payments are processed by Stripe. You authorise us (and Stripe) to charge your payment method for any amounts due.
- Taxes. Prices are exclusive of VAT, GST and other applicable taxes, which we add where required by law.
- 14-day money-back guarantee. If within fourteen (14) calendar days of your first paid charge you decide the Service isn't for you, write to [email protected] and we will refund that first month in full, no questions asked. After day 14, subscription fees are non-refundable except where required by applicable consumer-protection law (including the EU / UK 14-day right of withdrawal, which our policy mirrors and extends). We may issue pro-rata or goodwill refunds at our discretion. The binding canonical refund policy is published at /refund.
- Cancellation. You may cancel at any time from your account billing page. Your access continues until the end of the current billing period.
- Price changes. We may change prices with at least 30 days' notice before your next renewal. You may cancel before the new price takes effect.
11. Intellectual property
The Service, including software, design, documentation, and the Quant-AI models, is owned by TICPOZ or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
You retain ownership of your prompts, your StrategySpec configurations, the data you import, and the trade history you sync from your broker. You grant us the limited rights necessary to host, process and display that content as part of providing the Service.
12. Beta features and disclaimers
Some features are clearly labelled “beta”, “preview” or “experimental”. They are provided as-is, with no SLA, and may change or be removed at any time. To the maximum extent permitted by law:
12.1 As-is, no warranty
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY.
TICPOZ'S TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED THE GREATER OF: (a) THE AMOUNTS YOU PAID TO TICPOZ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED EURO (€100).
Nothing in these Terms excludes liability that cannot be excluded by law (e.g. for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence).
14. Indemnification
You agree to defend, indemnify and hold harmless TICPOZ, its officers, directors, employees and agents from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, your violation of applicable law, or any trading activity you conduct using the Service.
15. Termination
- By you — at any time, from Settings → Account → Close account. Subscription fees already paid are non-refundable.
- By us — for material breach of these Terms, suspected fraud or illegal use, prolonged non-payment, or if continuing to provide the Service to you would violate applicable law. Where reasonable, we provide notice and an opportunity to cure.
- Effect — on termination your access ends. Sections that by their nature should survive (IP, liability, indemnity, dispute resolution) survive.
- Data export — you may export your strategies and trade history before closing your account. After 30 days from termination we delete or anonymise your data, subject to legal retention obligations.
16. Changes to these Terms
We may amend these Terms. Material changes are announced in the app and by email at least 30 days before they take effect (immediate for changes required by law or to address security risks). Continued use of the Service after changes take effect constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Disputes will be brought exclusively in the courts of England and Wales, except that either party may seek injunctive relief in any competent court to protect intellectual property or confidential information.
If you are a consumer resident in the EU, your statutory consumer rights under your local law are not affected by this clause.
18. Miscellaneous
- Entire agreement. These Terms plus the Privacy Policy and any plan-specific addenda form the entire agreement between you and TICPOZ.
- Severability. If any clause is unenforceable, the remainder of the Terms remains in effect.
- No waiver. Failure to enforce a clause is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delay or failure due to events beyond reasonable control (war, natural disaster, internet outages, regulator action, broker outages).
- Notices. We may send notices to the email associated with your account; you are responsible for keeping that current.
